Terms and Conditions

These Terms and Conditions govern access to and use of the Thrive on a Dime Platform and related services.
1. Agreement to Terms
By accessing or using the Thrive on a Dime website, application, coaching marketplace, and related services (collectively, the “Platform”) operated by Thrive on a Dime Holistic, Inc. (“Thrive on a Dime,” “we,” “us,” or “our”), you agree to these Terms and Conditions (“Terms”) and the policies incorporated by reference. If you do not agree, do not use the Platform.
2. Eligibility and Account Responsibilities
You must be at least 18 years old to use the Platform. You agree to provide accurate information, maintain current account details, safeguard your credentials, and promptly report unauthorized use. You are responsible for activity occurring through your account to the extent permitted by law.
3. Platform Services and Independent Coaches
Thrive on a Dime provides technology and operational tools that facilitate matching, scheduling, communication, and coaching sessions between users and independent coaches. Unless expressly stated otherwise, coaches are independent providers and are not employees, agents, healthcare providers, or representatives of Thrive on a Dime.
Availability, coach participation, matching, services, and Platform features may change over time. We do not guarantee that a particular coach, service, match, or feature will always be available.
4. Intellectual Property and User Content
Platform software, design, trademarks, logos, text, graphics, and other materials are owned by or licensed to Thrive on a Dime and may not be copied, modified, distributed, or commercially used without authorization.
You retain ownership of content you submit. You grant Thrive on a Dime a worldwide, nonexclusive, royalty-free license to host, reproduce, display, transmit, modify as technically necessary, and otherwise use that content solely to operate, secure, improve, and provide the Platform and related services.
You represent that you have the rights needed to submit your content and that it does not violate law, another person’s rights, or our policies.
5. Payments, Subscriptions, Credits, Cancellations, and Refunds
Paid Services
Certain services require payment. Before purchase, you will be shown the applicable plan, price, billing frequency, included credits, and other material terms. By completing a purchase, you authorize Thrive on a Dime and its payment processor to charge your selected payment method.
Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. Your current plan, recurring price, renewal date, and automatic-renewal status are displayed in the Subscription section of your dashboard.
Managing Your Subscription
You may manage your subscription online through the Subscription section of your dashboard. You may review your current plan, upgrade or downgrade, cancel automatic renewal, update your payment method, view payment history, and download available invoices.
Upgrades and Downgrades
An upgrade may take effect immediately and may result in a prorated charge for the remainder of the current billing period. A downgrade ordinarily takes effect at the beginning of the next billing period. Applicable terms are displayed before confirmation.
Cancellation
You may cancel through the Subscription section of your dashboard. Cancellation stops future renewals and ordinarily takes effect at the end of the current paid billing period. You generally retain current plan benefits through that date. Canceling a subscription does not automatically cancel an already scheduled session.
Session Credits
Credits may be used only for eligible services through the Platform, have no cash value, and may not be transferred, resold, or redeemed for cash except where required by law. The dashboard displays the current balance and credit activity. Promotional, complimentary, or gifted credits may be subject to separate eligibility or expiration terms disclosed when issued.
Session Booking, Cancellation, and Rescheduling
A session credit is deducted when a session is booked. If a client cancels or reschedules at least 24 hours before the scheduled start time, the credit is returned for future use. If a client cancels or reschedules less than 24 hours before the scheduled start time, or does not attend, the credit is not returned. Thrive on a Dime may consider exceptions for emergencies or extenuating circumstances on a case-by-case basis.
Refunds and Failed Payments
Except where required by law or expressly stated at purchase, subscription charges, used credits, expired credits, and credits not returned under the late-cancellation policy are nonrefundable. Approved refunds are ordinarily returned to the original payment method. If payment fails, we may retry the charge, request an updated method, restrict paid features, or cancel the subscription.
Price and Plan Changes
We may change prices or plan features prospectively. We will provide advance notice of material changes where required by law, and a price change will not apply before the renewal period identified in the notice unless you affirmatively agree otherwise.
6. Confidentiality and Respect for Privacy
Users may not improperly disclose another person’s private, confidential, or sensitive information obtained through the Platform. Coaches must comply with confidentiality expectations applicable to their role and the Coach Conduct & Platform Use Policy. Coaching communications are not necessarily legally privileged in the manner of attorney-client or licensed therapist-client communications.
7. Acceptable Use and Coach-Specific Requirements
Your use is subject to the Acceptable Use Policy.
Users who participate as coaches must also comply with the Coach Conduct & Platform Use Policy, incorporated into these Terms by reference. Coaches may not solicit, divert, or move Platform-Sourced Clients to off-platform services or relationships; circumvent Platform communication, scheduling, booking, credit, or payment systems; or use the Platform primarily to acquire clients for an outside business.
Violations may result in client reassignment, feature restrictions, suspension, or termination, subject to applicable law and the relevant enforcement provisions.
8. Suspension and Termination
We may warn, restrict, suspend, or terminate access when reasonably necessary to address violations, fraud, abuse, security risks, unlawful conduct, nonpayment, or threats to users or Platform integrity. Depending on the circumstances, we may remove content, preserve relevant records, reassign clients, or cooperate with appropriate authorities.
9. Disclaimers
The Platform and services are provided “as is” and “as available” to the maximum extent permitted by law. Thrive on a Dime does not guarantee a particular coaching result, outcome, match, or uninterrupted availability. Coaching is not a substitute for medical, mental-health, legal, financial, or other licensed professional services. See our Disclaimer.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Thrive on a Dime will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, goodwill, or data, arising from or relating to the Platform or services.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or other matters for which limitation is prohibited by law.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Thrive on a Dime and its officers, directors, employees, and affiliates from third-party claims arising from your unlawful conduct, your content, your material breach of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from Thrive on a Dime’s own wrongful conduct.
12. Governing Law
These Terms and any dispute arising out of or relating to these Terms, the Platform, or the services will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
This choice of law does not deprive you of consumer protections provided by mandatory laws of the jurisdiction in which you reside that cannot lawfully be waived.
13. Informal Dispute Resolution and Legal Proceedings
Before filing a formal legal claim, you and Thrive on a Dime agree to make a good-faith effort to resolve the dispute informally.
A user initiating a dispute must send a written description and requested resolution to hello@thriveonadime.io. Thrive on a Dime may send a dispute notice to the email address associated with the user’s account. The parties will have 30 days after receipt to attempt resolution.
If the dispute is not resolved, either party may bring an eligible claim in small claims court. For all other legal proceedings, the parties consent to the exclusive jurisdiction and venue of the state courts located in Boulder County, Colorado, and the United States District Court for the District of Colorado, except where applicable consumer law permits or requires another jurisdiction.
Nothing in this section prevents either party from seeking emergency or temporary injunctive relief when necessary to prevent immediate and irreparable harm.
14. Third-Party Services
The Platform may integrate or link to third-party services. We are not responsible for their content, availability, security, or practices, and your use may be subject to their separate terms and policies.
15. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or transfer of the Platform, subject to applicable law.
16. Notices
We may provide operational, contractual, billing, or legal notices through the Platform, by email, or through another contact method you have authorized. You are responsible for maintaining accurate contact information. Formal notices to Thrive on a Dime may be sent to hello@thriveonadime.io, unless another method is required by law.
17. Miscellaneous
Entire agreement. These Terms, the Privacy Policy, Disclaimer, Acceptable Use Policy, Coach Conduct & Platform Use Policy where applicable, Cookie Policy, SMS terms, consent information, and purchase-specific terms shown at checkout constitute the agreement governing the relevant services.
Severability. If a provision is unenforceable, it will be modified or severed to the minimum extent necessary without affecting the remainder.
Waiver. Failure to enforce a provision is not a waiver.
Headings. Headings are for convenience and do not control interpretation.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will receive reasonable advance notice through the Platform, by email, or another appropriate method. Changes apply prospectively and do not retroactively alter terms governing a completed transaction or a dispute that arose before the effective date, except where required by law.
19. SMS/Text Messaging Terms
Program name: Thrive on a Dime Transactional SMS Notifications.
By voluntarily opting in, you agree to receive recurring transactional text messages from Thrive on a Dime Holistic, Inc. relating to your account and use of the Platform. Messages may include notifications about in-app messages, coach or client matches, booking confirmations, scheduled sessions, cancellations, schedule changes, session reminders, account activity, and important service updates.
Message frequency varies. Message and data rates may apply. Consent is voluntary and is not a condition of purchasing or using Thrive on a Dime’s services.
You may opt out at any time by replying STOP. After replying STOP, you may receive one final confirmation message. For assistance, reply HELP or contact hello@thriveonadime.io. Wireless carriers are not liable for delayed or undelivered messages.
